Royal Caribbean Announces Purchase of Pullmantur S.A.
MIAMI, Aug. 31 /PRNewswire-FirstCall/ -- In a move to further expand its European and Latin American operations, Royal Caribbean Cruises Ltd. (NYSE: RCL; Oslo) today announced its agreement to purchase Pullmantur S.A., a Madrid-based cruise and tour operator. Royal Caribbean expects the acquisition to be completed by the fourth quarter of 2006, subject to regulatory approvals.

Pullmantur, formed in 1971, is the largest cruise operator in Spain. It has two primary business interests: cruises and tour operations. Its cruise division consists of five ships operating in Europe and Latin America. Its tour operations sells travel packages to Spanish guests - including hotel and flights - primarily to Caribbean resorts, and sells travel packages to Europe aimed at Latin American customers. Pullmantur also has a small air business that operates three aircraft in support of its cruise and tour. Pullmantur has offices in Spain and Portugal, with approximately 2,600 employees, and will be Royal Caribbean's first wholly-owned European brand.

Royal Caribbean has signed an agreement with the shareholders of Pullmantur to buy all of the capital stock of the company for 430 million euro, plus Pullmantur's net debt of approximately 270 million euro. Royal Caribbean has obtained a committed bridge facility to support the purchase. As part of the transaction, Pullmantur will be withdrawing from all Cuba- related activities prior to closing.

"Pullmantur offers a terrific strategic opportunity for Royal Caribbean to further grow our presence in the European and Latin American markets in a major and tangible way," said Richard D. Fain, chairman and chief executive officer of Royal Caribbean Cruises Ltd. "We have made significant inroads into these regions through our Royal Caribbean International and Celebrity Cruises brands, and this combination will allow us to accelerate our growth in these markets. Pullmantur will remain an independent brand under the Royal Caribbean umbrella, keeping its distinctive and successful customer experience."

"Our partnership with Royal Caribbean is a bold strategic move that will enable us to further grow our highly successful brand," said Alfonso Lopez Perez, general manager of Pullmantur. "This is an excellent opportunity to align ourselves with one of the world's largest and most successful companies in the travel industry. We are very familiar with Royal Caribbean, and I know our two organizations will both benefit from the combination."

Royal Caribbean expects this acquisition to be neutral to marginally accretive to 2007 earnings per share and accretive thereafter.

Regarding 2006 earnings, the company continues to expect full year Net Yields to increase in the range of 3% to 4% as compared to 2005, and earnings to be in the range of $2.90 to $3.00 per share, excluding any impact from Pullmantur. Additionally, the company now expects earnings for the third quarter of 2006 to be in the range of $1.55 to $1.60 per share, based on slightly stronger yield expectations of an increase of approximately 3% over the third quarter of 2005. The exact impact of Pullmantur on the company's fourth quarter earnings depends on the timing of the closing and finalization of acquisition adjustments. Since the fourth quarter is traditionally Pullmantur's weakest quarter, any impact is likely to be negative.

The company has scheduled a conference call at 1 pm Eastern Daylight Time today to discuss the purchase and outlook update. Terminology

Net Yields

Net Yields represent Gross Yields less commissions, transportation and other expenses and onboard and other expenses per APCD. We utilize Net Yields to manage our business on a day-to-day basis and believe that it is the most relevant measure of our pricing performance because it reflects the cruise revenues earned by us net of our most significant variable costs. We have not provided a quantitative reconciliation of projected Gross Yields to projected Net Yields due to the significant uncertainty in projecting the costs deducted to arrive at this measure. Accordingly, we do not believe that reconciling information for such projected figures would be meaningful.

Good news that RCCL have purchase Pullmantur, other wice Carnival would have become to big and to domminant.

Maybe a chanse to adapt the same Pulmanntur livery fore the whole Pulmanntur fleet. All ships the same livery, not 1 bleu hull the other white.

Now waiting whene the first newbuild will order fore Pulmanntur and what RCCL will doing with Oceanic (litle panic)

I think they will first transfer their older tonnage, like Zenith, Empress OTS, or the Sovereign class.
If the Oceanic is still profitable, I don't see why they would get rid of her.

I wonder where this leaves Island Cruises then? I would have though them the obvious home for Zenith at least given that they have just received Horizon - upon which I am sailing in TWO WEEKS!!!!!

Perhaps the same way Carnival owns Costa (dedicated to the entire Europe) as well as Ocean Village and P&O (dedicated to the sole British market), they will devellop both their British and continental brands. Anyway, I think RCI is definitively willing to compete with Carnival Corp on every front, so I wouldn't be worry about Island Cruises.

Does this mean the end for Oceanic? I hope not. Either way, it is sad that the large cruise lines are taking over the lesser ones or the not so little ones like Cunard.

Maybe so. But I do not think RCI will change Pullmantur too much. Celebrity Cruises is also a very different brand than RCI after they merged and it is not like Carnival, where every brand will get the same ships. Maybe this move is not that bad as it seems to some.

That would be wonderful but I don't think there is much of a market for a 41 year old cruise ship-no matter how beautiful she is.

Hey, the bubble did not burst - going to the Mediterranean is simpler and cheaper than you might think. And maybe you combine that with a cruise aboard another old lady.

(..especially as chances that she will sail from an U.S. port are really slim - don't forget the U.S. Coast Guard....but I guess I should not have mentioned that )

Cunard was almost sunk whene Carnival took over. floating on there name and goodwill build up in the past.

I´ve contacted Pullmantur this morning, and they have confirmed that there´re not plans to get rid of any of the ships, and specially Oceanic, which is the most profitable vessel of the company. What´s official it´s the cancelation of the Cuban route of the Holiday.

Anyway, we can't expect so important decisions to be taken so soon. The Cuba cancelation is due to legal reasons and was unavoidable.

My bet on Zenith and Empress of the Seas. Not too old and now quite atypical in RCCL and Celebrity fleets. Perhaps a Vision and a Century class as well.

My guess is that Zenith will go to Island Cruises to join her sister Island Star while Empress of the seas will go to pullmantur in 2008 or 2009. Then Pullmantur will probably get either a sovereign class vessel or legend or splendour. Since the 3/4 day cruise market does quite well I'm not quite sure that RCCL would want to give up a sovereign class vessel since all of the vision class ships hold less passengers then a sovereign class vessel. But perhaps I am mistaken. In addition, since Legend and Splendour spend a great deal of time with RCCL catering to Europeans both of these ships seem like logical additions. Also, since Sovereign, Majesty, and Monarch have already been rejuvinated while legend and splendour have not it seems more probably that one of these 2 ships will head to pullmantur first. It probably will all come down to how much revenue each of these ships can generate for pullmantur versus RCCL.

Pullmantur will give RCI plenty of revenues in €. With the exchange rate, it will be a good bargain for them.

Although I have nothing against RCCL or Carnival controlling many brands, I am one that supports the existance of several independant companies that are in no way linked to major operators.

I actually liked P&O (UK) better before they merged with Carnival, however I love the expansion that Carnival has done for P&O (Australia).

I wonder if the Island Escape might not be better suited for transfer to Pullmantur then transfer Zenith to Isand...I think that would make more economical sense.
